All content and materials available on the Services, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, and software, are the property of 2BTRUST or our licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

9. Limitation of Liability
IN NO EVENT SHALL 2BTRUST, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
10. Indemnity
You agree to defend, indemnify, and hold harmless 2BTRUST, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of this Agreement or your use of the Services.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law principles.
12. Dispute Resolution
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware.
13. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement.
14. Miscellaneous
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
15. Proprietary Rights
2BTRUST OR ITS LICENSORS OWN AND RETAIN ALL PROPRIETARY RIGHTS IN THE SITE, THE SERVICE AND ALL MATERIAL AND INFORMATION POSTED THEREON (“CONTENT”) AND YOU SHALL NOT MAKE ANY CLAIM TO THE CONTRARY. THE SITE CONTAINS THE COPYRIGHTED MATERIAL, TRADEMARKS AND OTHER PROPRIETARY INFORMATION OF 2BTRUST AND ITS LICENSORS. YOU MAY NOT ALTER, MODIFY, PUBLISH, DISTRIBUTE, PUBLICLY DISPLAY OR SELL ANY CONTENT OR OTHER SUCH PROPRIETARY INFORMATION, OR OTHERWISE COPY OR TRANSMIT ANY CONTENT OR OTHER SUCH PROPRIETARY INFORMATION WITHOUT THE EXPRESS WRITTEN PERMISSION OF 2BTRUST. YOU FURTHER ACKNOWLEDGE THAT THE SITE AND SERVICE HAVE BEEN CREATED, DEVELOPED AND MAINTAINED BY US AT GREAT EXPENSE OF TIME AND MONEY, SUCH THAT MISAPPROPRIATION OR UNAUTHORIZED DISCLOSURE OR USE OF THE SITE AND/OR SERVICE BY YOU OR OTHERS FOR COMMERCIAL GAIN WOULD UNFAIRLY AND IRREPARABLY HARM US, IN A MANNER FOR WHICH DAMAGES WOULD NOT BE AN ADEQUATE REMEDY, AND YOU THEREFORE CONSENT TO OUR OBTAINING INJUNCTIVE RELIEF TO RESTRAIN ANY ACTUAL OR THREATENED BREACH OF THE AGREEMENT.
16. Confidentiality
To the extent you receive information from 2BTRUST or other users regarding any investment activity on the Site, you agree not to further disclose or otherwise provide such information to another party in any way that allows personal identification of such issuer or investor. You agree that 2BTRUST may, at its sole discretion and to the extent permitted by law, access, read, preserve, and disclose your account information, usage history, and submitted content to: (a) comply with any applicable law, regulation, legal process, or governmental request; (b) respond to claims that any content violates the rights of third parties, including intellectual property rights; (c) enforce this Agreement and investigate potential violations thereof; (d) detect, prevent, or otherwise address fraud, security, or technical issues; (e) respond to your requests for customer service; or (f) protect the rights, property, or personal safety of 2BTRUST, its users, or the public.
17. Export Compliance
In accordance with United States export laws, you agree not to export or re-export the Service except in full compliance with all United States laws, rules, decrees, regulations, and executive orders, including without limitation the Export Administration Regulation of the U.S. Department of Commerce and the sanctions programs administered by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury. Without limitation of the foregoing, no Service may be exported or re-exported into (or to a legal permanent resident of) any country to which the United States embargoes goods or to anyone on the United States Treasury Department’s list of Specially Designated Nationals and Blocked Persons or the U.S. Commerce Department’s Denied Persons List.
18. Disclaimer of Warranties
THE SITE, INCLUDING ANY CONTENT OR INFORMATION CONTAINED WITHIN IT OR ANY SERVICE, IS PROVIDED “AS IS” WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE AND THE SERVICE. NEITHER 2BTRUST NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE OR THE SERVICE SHALL BE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO, OR USE OF, THE SITE OR THE SERVICE. PLEASE CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THE EXCLUSION OF IMPLIED WARRANTIES.
19. Third-Party Data
2BTRUST makes no representation or warranty, express or implied, with respect to any third-party data provided to 2BTRUST or its transmission, timeliness, accuracy, or completeness, including but not limited to implied warranties or warranties of merchantability or fitness for a particular purpose. 2BTRUST will not be liable in any way to you or to any other person for any inaccuracy, error, or delay in or omission of any third-party data or the transmission or delivery of any such third-party data and any loss or damage arising from (a) any such inaccuracy, error, delay, or omission, (b) non-performance, or (c) interruption in any such third-party data due either to any negligent act or omission by 2BTRUST or “force majeure” or any other cause beyond the control of 2BTRUST.
